Delticom AG - Postponement of Annual Report 2018 and Annual General Meeting 2019 / First preliminary and unaudited figures for the 2018 financial year

Hanover, 19 March 2019 - Delticom AG (WKN 514680, ISIN DE0005146807, stock exchange symbol DEX), Europe's leading online retailer for tyres and car accessories as well as specialist in efood and expert in the field of efficient warehouse logistics, hereby announces that the 2018 Annual Report will not be published as planned on 21 March 2019. The Annual General Meeting planned for 7 May 2019 in Hanover must therefore also be postponed.The Annual General Meeting held on 8 May 2018 appointed KPMG AG Wirtschaftsprüfungsgesellschaft, Prinzenstraße 23, 30159 Hanover, for the first time as auditors of the annual financial statements and the consolidated financial statements. There have been delays in the preparation and audit of the financial statements as of 31 December 2018. In the course of the preparation and audit of the financial statements, it became apparent that Delticom and KPMG were too optimistic with regard to the time required for such work. The specialities of our e-commerce business and the largely software-controlled processing of relevant business transactions, including the generation of automatic bookings both at the level of the individual companies and with regard to the Group consolidation, must be retraced by KPMG as the new auditor in detail. Only when this has been completed can KPMG assess the 2018 annual financial statements and consolidated financial statements to determine whether they present a true and fair view of the net assets, financial position and results of operations of the Group in accordance with the underlying transactions and events.The management of Delticom AG and KPMG AG Wirtschaftsprüfungsgesellschaft are currently working together on a timetable for the remaining audit work with the declared goal of finalising the 2018 annual financial statements and consolidated financial statements by the end of April. Once the time table has been finalized, Delticom will inform the capital market as soon as possible about the final publication date of the financial statements. Since the audited financial statements must be available at the time when the Annual General Meeting is convened, the Annual General Meeting planned for 7 May 2019 must be postponed. As soon as it is foreseeable when the audit of the annual financial statements and consolidated financial statements can be finalised, Delticom will set and announce a new date for the Annual General Meeting.Based on initial, preliminary and unaudited figures, the Delticom Group generated revenues of around € 645 million in fiscal year 2018 (2017: € 667.7 million). The decline in sales is partly attributable to the comparatively mild winter. EBITDA increased from € 9.3 million in the previous year to around € 12.0 million, mainly due to one-off effects. We are not yet in a position to make any statements on the dividend proposal to the Annual General Meeting.Due to the onset of winter at the beginning of the current year, sales in January and February 2019 were almost € 10 million higher than in the same period of the previous year. The course of business in the first half of the fiscal year 2019 will nevertheless depend largely on the course of the summer tyre season.
